NATIONAL COUNCIL OF JEWISH WOMEN,
LOUISVILLE SECTION, INC.
ARTICLE I – NAME
This organization shall be called the National Council of Jewish Women, Louisville Section, Inc.
ARTICLE II — PURPOSE
The National Council of Jewish Women (NCJW), Inc., Louisville Section, is a volunteer organization, inspired by Jewish values, that works through a program of research, education, advocacy and community service to improve the quality of life for women, children and families and strives to ensure the individual rights and freedoms for all.
ARTICLE III – MEMBERS
Section 1. Regular Members. Anyone may become a Member by payment of annual dues for the current fiscal year.
Section 2. Life Members. Anyone may become a Life Member upon payment of the life member dues as determined by the National Council of Jewish Women, Inc. Life Members shall not have to pay annual dues and shall have all the privileges of regular members.
Section 3. Members of Other Sections. A Member of another Section of the National Council of Jewish Women, Inc. taking up residence in this community shall upon proof of paid membership become a Member of this Section for the fiscal year in which the dues have been paid.
ARTICLE IV — FISCAL YEAR
The fiscal year shall be July 1 through June 30 in conformity with that of the National Council of Jewish Women, Inc.
ARTICLE V – DUES
Section 1. Annual Dues. The annual dues for members shall be $35.00. A member who is 65 or older may have the privilege of paying $20.00 yearly.
Section 2. National Per Capita Dues. The Section shall remit to the National Council of Jewish Women, Inc. annual per capita dues as determined by the National organization.
ARTICLE VI – OFFICERS
Section 1. Titles. The Officers shall be:
Vice President for Administration
Vice President for Community Services
Vice President for Membership
Vice President for Nearly New/Fashion Encore
Vice President for Public Affairs
Vice President for Ways and Means
Financial Secretary Assistant Treasurer
Assistant Financial Secretary
Section 2. Term. Officers and six (6) Directors shall be elected for a two year term by the membership at the Annual meeting of the Section in odd numbered years. An officer who has served two terms in the same office shall not be eligible for re-election to that office until the lapse of two years. The filling of twelve months of an unexpired term shall be considered a full term.
ARTICLE VII — DUTIES OF OFFICERS
Section 1. President. The President shall be the representative of the organization in all public matters. The President shall preside at meetings of the Section, of the Board and of the Executive Committee; she shall appoint the Committee Chairwomen, in consultation with the Executive Committee; she shall be an ex-officio member of all Committees, Standing and Special, except the Nominating Committee. She shall make an annual report to the Section; she shall be designated to sign checks of the Section; and she shall perform all other duties usually incident to the office.
Section 2. Vice President. Each Vice President shall supervise and coordinate the activities and be an ex-officio member of the Committees under her charge. When designated by the President or the Board of Directors, a Vice President shall perform the duties of the President, and she shall perform other duties incident to the office.
Section 3. Secretary. The Secretary shall keep a record of all meetings of the Section, the Board and the Executive Committee. She shall conduct all necessary correspondence; send notices of Board meetings; maintain the records of the Board membership; and notify any Board member when the provisions of Article VIII, Section 4 are invoked. She shall be custodian of all records not specifically assigned to others and shall perform other duties assigned by the President or the Board of Directors.
Section 4. Treasurer. The Treasurer shall receive, record and disburse, upon direction of the Board of Directors, all funds of the organization. She shall be the first officer designated to sign checks and a signatory of all bank accounts; she shall be Chairwoman of the Finance Committee.
Section 5. Assistant Treasurer. The Assistant Treasurer shall assist in the duties of the Treasurer and shall perform those duties when the Treasurer is unable to serve.
Section 6. Financial Secretary. The Financial Secretary shall maintain a complete membership record and shall be responsible for membership billing, collection of dues and maintaining accurate records required by the Section and the National Organization.
Section 7. Assistant Financial Secretary. The Assistant Financial Secretary shall assist in the duties of the Financial Secretary and shall perform those duties when the Financial Secretary is unable to serve.
ARTICLE VIII — BOARD OF DIRECTORS
Section 1. Function. The Board shall formulate and implement Section objectives, policies and programs; recommend budget to the membership; and establish all Standing and Special committees. The Board shall have the authority to act on behalf of the Section in the interim between membership meetings.
Section 2. Membership. The Board of Directors shall have as members:
Twelve (12) Elected Directors
Past Section Presidents
State Public Affairs Chairwoman
Chairwomen and Co-Chairwomen of Standing Committees
Any member of the Section who is currently a member of the Board of the National Council of Jewish Women, Inc. and any chairwoman of a special committee (Article IX, Sec. 2.)
Honorary Board Members with voice but no vote.
Section 3. Term of Directors. Directors shall be elected for a two year term subject to one re-election. A Director who has served two terms shall be eligible for re-election to that position after a lapse of one year. Six (6) Directors shall be elected yearly at the Annual meeting.
Section 4. Honorary Members. Members who have served on the Board of Directors for twenty-five years shall be entitled to be honorary directors. Honorary directors may participate in debate but shall have no vote and shall not be counted as part of a quorum. Eligibility for honorary membership shall not disqualify a member from being a regular member of the Board of Directors.
